Definitions

• "KAUFAST", "we", "us", "our" — refers to KAUFAST, a technology consultancy with offices in Barcelona, Spain and London, United Kingdom.

• "Services" — refers to the IT services we provide, including but not limited to AI agents, business automation, cloud infrastructure, cybersecurity, custom software development, and data analytics.

Fees and Payment

• All fees are quoted in Euros (EUR) or British Pounds (GBP) as specified
• Invoices are payable within 30 days of issue
• Late payments may incur interest at 8% per annum above the European Central Bank base rate (Spain) or Bank of England base rate (UK)
• We reserve the right to suspend Services if invoices remain unpaid for more than 45 days

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement. This obligation survives termination of any agreement for a period of 3 years.

Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Disclaimers and Warranties

The Website is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Professional Services are provided with reasonable skill and care. If deliverables do not materially conform to the agreed specification, we will re-perform the deficient Services at no additional cost, provided you notify us within 14 days of delivery.

Limitation of Liability

To the maximum extent permitted by law:

• KAUFAST shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Website or Services
• Our total liability for any claim arising from a service engagement shall not exceed the total fees paid by you for the specific engagement giving rise to the claim

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Spain. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.

For clients based in the United Kingdom, we agree that disputes may alternatively be resolved under English law in the courts of England and Wales.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Website after changes constitutes acceptance of the updated Terms.
